Over the past three years, 4TU has concluded more than eighty deals with spin‑offs based on the national deal terms. These agreements, with an average equity share below 15%, create greater transparency and predictability in the negotiation process. This has led to noticeably increased trust among both researchers and investors. A recent review confirms this: investors report that the deal terms work well for them, provided they are applied correctly and no additional requirements are imposed on spin‑offs.
Faster negotiations through standardisation
In recent years, the duration of IP negotiations has been significantly reduced. Whereas negotiations used to take months, they now often conclude within a few weeks. This improvement is partly due to the standardised 4TU templates for term sheets and agreements, available via the 4TU Impact website. In addition, 4TU is working with Capital Waters on, among other things, a uniform shareholders’ agreement.
Nationwide adoption
Since November 2025, all Dutch universities have adopted the national deal terms. This marks an important step toward a consistent and transparent approach across the country. The actual impact, however, depends on the correct application of these agreements by all institutions. For this reason, 4TU continues to engage with partners and remains open to improvements based on practical experience and data.
Ambitions for the coming years
In the years ahead, 4TU aims to at least double the number of spin‑offs. Quality remains more important than quantity. Solid deal terms provide a strong foundation, but they are not enough to ensure that spin‑offs truly thrive. Researchers need active guidance, support, and a culture in which valorisation is structurally recognised and valued.
With the national deal terms as a foundation, 4TU continues to build a strong, transparent and future‑proof innovation ecosystem.
